These Terms and Conditions ("Agreement") govern your use of the programmes, workshops, consulting engagements, and related materials offered by Stratos ("we", "us", or "our") through our website at stratosm.club and directly by written agreement. By purchasing or enrolling in any Stratos programme, you confirm that you have read, understood, and agreed to these Terms.
If you are entering into this Agreement on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
1. Definitions
In this Agreement, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any written programme engagement or purchase confirmation.
- "Stratos" or "we" refers to the company operating the Stratos brand and delivering the programmes described on this website.
- "User" or "you" means any individual or organisation that purchases, enrols in, or otherwise accesses a Stratos programme.
- "Programme" means any of the operational risk awareness offerings described on the website, including the Online Course, Team Workshop, and Internal Programme Design engagement.
- "Materials" means any documents, slides, workbooks, summary cards, facilitation guides, or other content delivered as part of a Programme.
- "Engagement" means a Programme Design consulting engagement formalised by written agreement between Stratos and the client organisation.
- "Website" means the Stratos website accessible at stratosm.club.
2. Acceptance of Terms
By making an enquiry, purchasing a Programme, or executing a written Engagement agreement with Stratos, you agree to be bound by this Agreement. Access to the Online Course platform further constitutes acceptance of these Terms.
- You must be at least 18 years of age to purchase or enrol in any Stratos Programme.
- If purchasing on behalf of a company or organisation, you confirm you have authority to enter into legally binding agreements on its behalf.
- Use of the Website does not in itself constitute acceptance of these Terms; acceptance occurs at the point of purchase or signed Engagement agreement.
3. Service Description
Stratos offers three operational risk awareness programmes designed for organisations and individuals in Malaysia:
- Operational Risk Awareness Online Course — a self-paced, seven-module online learning programme accessible via a digital platform.
- Risk Awareness Workshop for Operations Teams — a one-day facilitated group workshop conducted at a mutually agreed venue, subject to participant cap and scheduling availability.
- Internal Risk Awareness Programme Design — a consulting engagement of approximately ten weeks to design a bespoke internal programme, formalised by written Engagement agreement.
Stratos reserves the right to modify programme content and delivery formats to maintain relevance and quality. Material changes to a purchased Programme will be communicated to enrolled users prior to implementation.
4. Enrolment and Accounts
Access to the Online Course requires creation of a user account on the designated learning platform. You agree to:
- Provide accurate and complete registration information.
- Maintain the confidentiality of your login credentials and not share account access with others.
- Notify us promptly if you become aware of any unauthorised use of your account.
- Accept that each enrolment is for a single named individual unless otherwise agreed in writing for team or organisational enrolments.
For Workshop and Engagement bookings, confirmation of the arrangement is made by written agreement or confirmed purchase communication. Participant names and details required for workshop delivery should be provided no later than five working days before the scheduled date.
5. User Responsibilities
When accessing or participating in any Stratos Programme, you agree to:
- Use the Programme and Materials only for your own internal organisational awareness and learning purposes.
- Treat workshop facilitators and other participants with professional courtesy.
- Not reproduce, distribute, or make available any Programme Materials to third parties outside your organisation without prior written consent from Stratos.
- Not use any Materials for commercial training delivery or resale.
- Comply with all applicable laws of Malaysia when using or applying information from the Programmes.
Prohibited uses include, without limitation: reverse engineering course structure for competitive commercial purposes, reproducing Materials in third-party publications without attribution or permission, and misrepresenting the scope or content of a Stratos Programme to others.
6. Intellectual Property
All intellectual property in the Programmes, including course content, frameworks, workbooks, facilitation guides, workshop structures, and summary materials, remains the property of Stratos unless otherwise specified in a written Engagement agreement.
- Upon payment, users receive a limited, non-exclusive, non-transferable licence to use Programme Materials for internal organisational purposes only.
- For Internal Programme Design Engagements, the deliverables produced — including facilitator guides and participant materials — are licensed to the client organisation for internal use. Stratos retains the underlying methodological frameworks and approaches.
- You may not sublicense, assign, or transfer rights to Programme Materials to any third party without prior written consent from Stratos.
7. Payment and Fees
All fees are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless otherwise indicated. Current programme fees are:
- Online Course: RM 540 per individual enrolment
- Team Workshop: RM 2,400 per session (up to 16 participants)
- Internal Programme Design Engagement: RM 4,500 per engagement
Payment terms are communicated at the point of purchase or in the written Engagement agreement. For Workshop and Engagement bookings, Stratos may require a deposit prior to commencement of work.
Refunds: For the Online Course, requests for refund made within 7 days of enrolment and before completion of any module will be considered at Stratos's discretion. Once a module has been accessed, no refund is available for that module. For Workshops and Engagements, cancellation and refund terms are set out in the relevant written agreement or confirmation communication.
8. Programme-Specific Terms
Online Course
- Access to the Online Course is provided for a period of 12 months from the date of enrolment unless otherwise agreed in writing.
- Stratos does not issue certificates of completion. The self-check at the end of each module is for the learner's own reference and does not constitute formal assessment.
- Platform availability is subject to maintenance windows, which Stratos will endeavour to schedule outside normal business hours (Monday to Friday, 09:00–18:00 MYT).
Team Workshop
- The Workshop is conducted at a venue provided or arranged by the client organisation unless otherwise agreed.
- Group size is capped at sixteen (16) participants. Additional participants cannot be accommodated without prior written agreement and may be subject to additional fees.
- Rescheduling by the client within five working days of the scheduled date may incur an administrative fee as set out in the booking confirmation.
- The written summary memo is delivered within five working days of the Workshop date.
Internal Programme Design Engagement
- Scope, deliverables, timeline, and fees are specified in a written Engagement agreement executed by both parties prior to commencement of work.
- Any material changes to scope requested by the client during the engagement will be assessed and, if agreed, documented by written variation to the Engagement agreement.
- The client organisation is responsible for arranging access to relevant staff and internal documentation as required during the scoping and mapping phases.
9. Disclaimers
Stratos programmes are educational and awareness-raising in nature. They are not a substitute for professional risk management advice, legal counsel, compliance consulting, or any other regulated professional service.
- Programme content reflects general operational risk awareness principles and contextual examples. It does not constitute advice specific to your organisation's risk profile or regulatory obligations.
- Stratos does not represent that completion of any Programme will result in compliance with any law, regulation, or industry standard applicable to your organisation.
- The Programmes are provided on an "as available" basis. Stratos makes no representations about uninterrupted access to the Online Course platform.
10. Limitation of Liability
To the maximum extent permitted under applicable Malaysian law:
- Stratos's total liability to you in connection with any Programme shall not exceed the fees paid by you for that specific Programme.
- Stratos shall not be liable for any indirect, incidental, consequential, or special loss arising from your use of, or inability to use, any Programme or Materials — including loss of business, loss of data, or loss of anticipated savings.
- Nothing in this Agreement excludes or limits Stratos's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
- Stratos is not responsible for outcomes resulting from decisions made by the client organisation on the basis of Programme content, including Workshop discussion outputs or Engagement deliverables.
Force Majeure: Stratos shall not be in breach of this Agreement, nor liable for delay or failure in performing any obligation, where such delay or failure results from events beyond its reasonable control, including natural disasters, public health emergencies, government directives, or disruptions to communications infrastructure.
11. Indemnification
You agree to indemnify and hold harmless Stratos, its personnel, and its affiliates from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your use of Programme Materials in a manner inconsistent with this Agreement; (b) your breach of any applicable law in connection with a Programme; or (c) any misrepresentation of Programme content or scope to third parties.
12. Termination
- Stratos may suspend or terminate access to any Programme if you are found to be in material breach of this Agreement, with notice where practicable.
- For Engagement agreements, either party may terminate for cause (material breach not remedied within 14 days of written notice) or by mutual written consent. Terms relating to fees paid and work completed at the time of termination are set out in the Engagement agreement.
- Provisions of this Agreement that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — shall do so.
13. Dispute Resolution
This Agreement is governed by the laws of Malaysia. Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
- Before initiating formal proceedings, the parties agree to attempt to resolve any dispute informally by written notice and good-faith discussion for a period of 30 days from notification.
- If the dispute is not resolved within that 30-day period, either party may refer the matter to mediation administered by the Malaysian Mediation Centre, or commence proceedings in the appropriate court.
- Nothing in this section prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction.
14. General Provisions
- Entire Agreement: This Agreement, together with any written Engagement or purchase confirmation, constitutes the entire agreement between the parties in respect of its subject matter and supersedes all prior discussions and representations.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure by Stratos to enforce any right under this Agreement does not constitute a waiver of that right.
- Assignment: You may not assign or transfer your rights or obligations under this Agreement without prior written consent from Stratos. Stratos may assign this Agreement in connection with a business transfer or restructure.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address. Notices are deemed given on the next working day after sending.
15. Changes to These Terms
Stratos may update these Terms from time to time. Where changes are material, we will notify enrolled users by email or via a notice on the Website at least 14 days before changes take effect. Your continued use of or access to a Programme after changes take effect constitutes acceptance of the revised Terms. We encourage you to review this page periodically. The "Last Updated" date at the top of this page indicates when the Terms were last revised.

These Terms are written in the English language. In the event of any inconsistency between an English version and any translated version, the English version shall prevail.
